Terms of service

1. Agreement
These Terms of Service (“Terms”) are an agreement between you and FreightLoop, Inc. (“FreightLoop”, “we”, “us”). By accessing the FreightLoop platform, including freightloop.co, you agree to be bound by these Terms.
2. The service
FreightLoop provides a marketplace and software platform that helps shippers and carriers find each other, book loads, track shipments, and exchange documents. We are not a freight broker unless we expressly agree to act in that capacity in a separate written agreement. Carriers and shippers contract with each other; FreightLoop facilitates that relationship.
3. Eligibility & accounts
You must be at least 18 years old and able to enter into binding agreements to use FreightLoop. You agree to provide accurate information when you create an account or fill out our forms, and to keep it current. You are responsible for activity that occurs under your account.
4. Acceptable use
- Don't use the platform for illegal, fraudulent, or misleading activity.
- Don't misrepresent your equipment, authority, or insurance.
- Don't scrape, reverse-engineer, or otherwise abuse the platform.
- Don't upload content you don't have the right to share.
- Don't interfere with the operation or security of FreightLoop.
5. Carriers
Carriers represent and warrant that they hold the proper authority, licenses, and insurance to perform each load they accept on FreightLoop, and that they will comply with all applicable laws and regulations (including DOT and FMCSA requirements).
6. Shippers
Shippers represent and warrant that they have the right to ship the goods they post, that the information they provide is accurate, and that they will comply with all applicable laws and regulations.
7. Fees & payment
During the waitlist and pilot phases, the service is offered free of charge. We'll communicate pricing terms before charging any fees. Pilot terms, including any payment timing commitments, will be set out in a separate pilot agreement.
8. Intellectual property
FreightLoop owns the platform, including software, design, and content we provide. You keep ownership of content you submit, but grant FreightLoop a worldwide, royalty-free license to use it as needed to operate the service.
9. Disclaimers
The service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee uninterrupted, error-free operation, and we are not responsible for the conduct of any counterparty on the platform.
10. Limitation of liability
To the maximum extent permitted by law, FreightLoop is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim related to the service will not exceed the greater of US$100 or the fees you paid us in the 12 months before the claim.
11. Termination
You can stop using FreightLoop at any time by contacting support@freightloop.co. We may suspend or terminate access if we reasonably believe you're violating these Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Disputes will be resolved in the state or federal courts located in Delaware, unless we agree otherwise in writing.
13. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Your continued use after a change means you accept the new Terms.
